Terms and Conditions
‘Shanghai Zonghui Optoelectronics Co.,Ltd.’ hereinafter referred to briefly as ’Zonghui’.
These Zonghui Terms and Conditions of Sale shall be the sole terms and conditions governing the sale of semiconductor products (“Products”) of Zonghui, Inc., together with its wholly owned subsidiaries, (“Zonghui”) to the party listed on the purchase order or other order documentation (“Buyer”). Zonghui ’ acceptance of Buyer’s order is expressly conditioned on Buyer’s acceptance of these terms and conditions. Any and all Buyer terms and conditions are hereby rejected and shall be of no effect. Buyer shall be conclusively deemed to have accepted these terms and conditions upon any of the following by Buyer, its agents or representatives: (i) written or electronic acknowledgement or acceptance of the Zonghui terms and conditions, (ii) transmission to Zonghui, its agents or representatives of any order for Zonghui Products or services, or (iii) acceptance of or payment for any Product or service covered hereby. Zonghui’ failure to object to any provision contained in any communication from Buyer shall not be deemed a waiver of any provision hereof.
Prices: All prices are invoiced and payable in U.S. Dollars or RMB. All prices are subject to adjustment on account of specifications, quantities, shipment arrangements or other terms and conditions that are not a part of the original price quotation. Prices are exclusive of all federal, state, municipal or other government excise, value added tax, sales, use, occupational or like taxes, tariffs, customs, duties and importing fees, the payment of which shall be the sole responsibility of Buyer regardless of whether invoiced to Buyer by Zonghui. Prices are consequently subject to increase by the amount of any such tax, tariff, duty or fee that Zonghui pays or is required to pay or collect upon sale or delivery of the Products. Any certificate of exemption or similar document or proceeding required to exempt the sale of Products from sales or use tax liability shall be obtained by Buyer at its expense. Prices may be adjusted if Products are not tendered for delivery within twelve (12) months after Zonghui’ receipt of the order for such Products. If Buyer fails to take delivery of the quantity of Products upon which a quantity discount price, if any, is based, Buyer will be back-billed an amount based on the quantity actually delivered hereunder and upon the quantity pricing schedule in effect at the time the order was placed. Such charges will be in addition to any cancellation charges.
Terms of Payment: Terms are cash upon delivery, except where satisfactory open account credit is established, in which case terms of payment are net thirty (30) days from the date of invoice. Zonghui reserves the right at any time, in its sole discretion, to revoke any credit extended to Buyer. Zonghui will issue invoices on delivery in the case of all Products; and if deliveries are authorized in installments, each shipment shall be invoiced and paid when due without regard to other scheduled deliveries. Overdue payments shall be subject to finance charges computed at a periodic rate (to the extent permitted by law) of 1.5% per month (18% per year). Amounts owed by Buyer with respect to which there is no dispute shall be paid without set-off for any amounts that Buyer may claim are owed by Zonghui and regardless of any other controversies that may exist. Buyer does hereby grant to Zonghui a security interest in the Products and proceeds therefrom as security for the performance by Buyer of all its obligations hereunder.
Shipment: Unless specific instructions to the contrary are supplied by Buyer, Zonghui will select the carrier and ship the Products to Buyer’s address indicated on Buyer’s purchase order. All Products will be scheduled for shipment in accordance with Zonghui’ minimum order policy and applicable shipment sequence. Zonghui reserves the right to make shipments in installments. Zonghui reserves the right to make shipments when Product is available and shall invoice shipments as made. Zonghui reserves the right to allocate production and deliveries among its various customers under any circumstances. Zonghui will confirm in writing, and amend as appropriate, the shipment schedule. Zonghui will not assume any liability in connection with the shipment or constitute any carrier as its agent. Buyer shall be responsible for making all claims with carriers, insurers, warehousers and others for non-delivery, loss, damage or delay. All claims for damages to the Products or shortages must be made within thirty (30) days of shipment. Under no circumstances shall Zonghui be liable to Buyer for any delay either in shipment or in delivery. In the absence of timely and specific shipping instructions from Buyer, or the failure of Buyer’s selected carrier to accept Products on the acknowledged shipment date, Zonghui may select another carrier and service level similar to that of Buyer’s selected carrier (if any), so as to complete the order as originally acknowledged by Zonghui.
Title and Risk of Loss: Except as otherwise stated herein, all Products will be shipped FCA(Free Carrier) point of origin (Incoterms 2010) point or as otherwise designated by Zonghui in a notice to Buyer. Products held or stored by Zonghui, at Buyer’s request or due to Buyer’s failure to accept delivery, after the scheduled shipment date in the applicable order, shall be at the sole risk of Buyer, and Buyer shall pay to Zonghui all Zonghui’ expenses associated with holding or storing such Products.
Cancellation, Rescheduling, Returns and Modifications: Any request for order cancellation, rescheduling, return, or modification must be made in writing and such action must be approved in writing by an authorized agent of Zonghui. Zonghui, at its option, may accept or reject any such request by Buyer, and Zonghui reserves the right to impose charges on Buyer in connection therewith. Buyer shall not return any Products for any reason without issuance of a Return Material Authorization (RMA) number by Zonghui for such Products.
Source Inspection: Source inspection by Buyer or Buyer’s customer must be mutually agreed in writing, at the time of ordering, and is subject to reasonable charges and safety and security conditions. Buyer shall have no right of access to any Zonghui facility except as specifically authorized in advance by Zonghui. Buyer shall indemnify and hold harmless Zonghui and its affiliates from any and all suits, damages, and expenses of Buyer, its agent or its customer resulting from personal injury including death or loss or damage of property occurring during, or in connection with, any visit to any facility of Zonghui or its affiliates.
Product Warranty: Except as otherwise provided herein, Zonghui warrants to Buyer that for one (1) year from the date title to the Product passes, each Product sold hereunder will be free of defects in materials or workmanship and will conform to specifications set forth in Zonghui’ published data sheets or, where applicable, user manuals for Zonghui’ system products in effect at the time title passes.
Product Warranty Limitation: For unpackaged semiconductor dice or wafers (“Unpackaged Product”), Zonghui’s Product Warranty shall be limited to the good dice (as noted in the accompanying Wafer map) or the individually sold die. Buyer assumes full responsibility to ensure compliance with the appropriate handling, assembly and processing of Products (including, as applicable, proper die preparation, die attach, backgrinding, singulation, wire bonding and related assembly and test activities), and compliance with all guidelines set forth in the applicable Zonghui specifications. Zonghui assumes no responsibility for environmental effects on Products or for any activity of Buyer or a third party that damages the Products due to improper use, abuse, negligence, improper installation, accident, loss, damage in transit, or unauthorized repair or alteration by a person or entity other than Zonghui. Zonghui assumes no responsibility for improper backgrinding or improper singulation of Unpackaged Products. Except as expressly provided herein, Buyer shall assume responsibility for all warranty issues with respect to its customers and end users.
Warranty Remedy: Zonghui’ sole liability and responsibility for Products under this warranty is for Zonghui to repair or replace any Product that is returned to it by Buyer or credit Buyer’s account for such returned Product, provided that Zonghui shall have the right to reject any such remedy where Zonghui determines that the Warranty does not apply Product returned to Zonghui for warranty service will be shipped to Zonghui at Buyer’s expense and will be returned to Buyer at Zonghui’ expense. Zonghui’ obligation to honor its warranty for a Product is contingent upon receipt of payment in full for such Product.
Warranty Disclaimer: EXCEPT AS PROVIDED HEREIN, Zonghui DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT. LABELING ON PRODUCTS AND PACKAGING IS INTENDED SOLELY FOR COMPLIANCE WITH APPLICABLE LAW AND Zonghui DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, THAT ARISE FROM SUCH LABELING OTHER THAN AS REQUIRED BY APPLICABLE LAW. IN NO EVENT SHALL Zonghui BE RESPONSIBLE UNDER ITS WARRANTY FOR ANY DEFECT THAT IS CAUSED BY NEGLIGENCE OF BUYER OR A THIRD PARTY, STATIC DISCHARGE, MISUSE OF A PRODUCT OR MISTREATMENT OF A PRODUCT. Zonghui SHALL HAVE NO RESPONSIBILITY FOR ANY PRODUCT THAT HAS BEEN ALTERED OR MODIFIED IN ANY WAY. Zonghui SHALL HAVE NO RESPONSIBILITY TO THE EXTENT ANY DEFECT OR FAILURE IS CAUSED BY NONCOMPATIBILITY OF THE PRODUCTS WITH OTHER COMPONENTS USED BY BUYER. Zonghui SHALL HAVE NO RESPONSIBILITY FOR NONSTANDARD PRODUCTS OR PRODUCTS PURCHASED THROUGH UNAUTHORIZED CHANNELS. THE WARRANTY OF REPLACEMENT PRODUCTS SHALL TERMINATE WITH THE WARRANTY OF THE ORIGINAL PRODUCT. UNLESS SEPARATE TERMS ARE PROVIDED, ALL SOFTWARE IS EXPRESSLY Zonghui HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. NO SUIT OR ACTION SHALL BE BROUGHT AGAINST Zonghui MORE THAN ONE YEAR AFTER THE RELATED CAUSEPROVIDED “AS IS”.
Limitations of Liability: Zonghui' EXPRESS WARRANTY TO BUYER AND THE INTELLECTUAL PROPERTY INDEMNITY DESCRIBED HEREIN ARE SOLELY FOR THE BENEFIT OF BUYER AND NO OTHER PARTY, CONSTITUTE Zonghui' SOLE LIABILITY AND THE BUYER'S SOLE REMEDY WITH RESPECT TO THE PRODUCTS, AND ARE IN LIEU OF ALL OTHER WARRANTIES, INDEMNITIES, LIABILITIES AND REMEDIES. UNLESS OTHERWISE EXPRESSLY PROVIDED IN A WRITING SIGNED BY BOTH PARTIES, Zonghui DOES NOT INDEMNIFY, NOR DOES IT HOLD BUYER HARMLESS, AGAINST ANY LIABILITIES, LOSSES, DAMAGES AND EXPENSES (INCLUDING ATTORNEY'S FEES) RELATING TO ANY CLAIMS WHATSOEVER, INCLUDING WITHOUT LIMITATION, CLAIMS FOR PERSONAL INJURIES, DEATH OR PROPERTY DAMAGE RELATING TO THE PRODUCTS SOLD HEREUNDER. IN NO EVENT SHALL Zonghui BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR OTHER INDIRECT DAMAGES, OR FOR LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF USE DAMAGES, DUE TO ANY CAUSE WHATSOEVER, WHETHER BASED UPON WARRANTY, CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF OF ACTION HAS ACCRUED. THE TOTAL LIABILITY OF Zonghui TO BUYER AND/OR ANY OTHER PARTY FROM ANY LAWSUIT, CLAIM, WARRANTY OR INDEMNITY SHALL NOT EXCEED THE AGGREGATE AMOUNT ACTUALLY PAID BY BUYER TO Zonghui FOR THE SPECIFIC PRODUCTS (AS IDENTIFIED BY PART NUMBER) SOLD UNDER THE ORDER SHIPMENT(S) AT ISSUE WITHIN THE PRIOR TWELVE (12) MONTHS THAT GAVE RISE TO THE LAWSUIT, CLAIM, WARRANTY OR INDEMNITY. THE EXISTENCE OF MULTIPLE CLAIMS RELATED TO THE SAME PRODUCT AT ISSUE SHALL NOT ENLARGE OR EXTEND THIS LIMIT.
Use in Life Support and Other Risk Applications: Products sold by Zonghui are not designed, intended or approved for use in life support, implantable medical devices, transportation, nuclear, safety or other equipment where malfunction of the Product can reasonably be expected to result in personal injury, death, severe property damage or severe environmental harm. Buyers should use or sell the system causing eye safety should evaluate the risks first. Buyer represents and warrants that it will use appropriate safeguards to minimize potentially dangerous consequences associated with Product failure. Notwithstanding the foregoing, if Buyer uses or sells Products for in such critical applications, it does so at Buyer’s own risk and Buyer agrees to defend, indemnify and hold harmless Zonghui from any and all damages, claims, suits or expenses resulting from such use.
Intellectual Property Rights Indemnity: Zonghui agrees to defend Buyer against any claim that a Product, as delivered, infringes a valid and enforceable patent, copyright, trademark or other intellectual property right (“IP Claim”), and indemnify Buyer against any damages arising from such IP Claim that are awarded to a third party by a court of competent jurisdiction or in a settlement approved by Zonghui, provided that Buyer promptly advises Zonghui of any such IP Claim or related action and Buyer provides Zonghui with sole control of the defense and settlement of any such action. Buyer shall provide Zonghui with all information and assistance reasonably requested by Zonghui to defend any such IP Claim. Zonghui shall not be responsible for any settlement or compromise made without its prior written consent. If at any time use of a Product is the subject of a IP Claim or, in the opinion of Zonghui, is likely to become the subject of an IP Claim, Zonghui shall have the right, but not the obligation, at its sole option and expense, to either procure for Buyer the right to continue using the Product, replace or modify the Product so that it becomes non-infringing or accept the return and grant Buyer a credit for the Product as depreciated. If Zonghui elects to accept the return of Products, then Buyer shall return to Zonghui any and all such Products remaining in Buyer’s possession, custody or control. Zonghui shall not have any liability to Buyer for any infringement or other violation of a third party right that is based in any way upon (i) the use of the Product in combination with other components, equipment or software not furnished by Zonghui or any third party software furnished by Zonghui; (ii) the use of the Product in practicing any process or method; (iii) any Product that has been modified or altered; (iv) the manner in which the Product is used even if Zonghui has been advised of such use; (v) Zonghui’ compliance with Buyer’s designs, specifications or instructions; (vi) the use of the Product after Buyer has received notice of such infringement or other violation, and Zonghui has offered a replacement, modification or refund therefor, or (vii) compliance with an industry standard or communication protocol. THE ABOVE INDEMNITY STATES BUYER’S SOLE AND EXCLUSIVE REMEDY FOR INFRINGEMENT AND IS IN LIEU OF ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES WITH RESPECT TO INFRINGEMENT.
Assignment: These terms and conditions are not assignable by Buyer without Zonghui’ prior written consent and any unauthorized attempt to assign any rights, duties or obligations arising hereunder shall be void. Zonghui may, as it deems necessary, subcontract any part of the work or services to be provided pursuant to these terms and conditions. These terms and conditions shall be binding upon each party and their successors and permitted assigns.
Arbitration: If a dispute, controversy or claim arises out of or relates to these terms and conditions, or the breach, termination or validity thereof, and if either party decides that the dispute cannot be settled through direct discussions, the parties agree to settle the dispute through arbitration. The arbitration shall be conducted by one (1) arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) in effect at the time of the arbitration, except as they may be modified herein or by mutual agreement of the parties. The seat of the arbitration shall be Boston, Massachusetts and the arbitration shall be conducted in the English language. If Buyer is located in Europe, then (A) the arbitration shall be conducted by one (1) arbitrator in accordance with the Rules of Arbitration of the International Chamber of Commerce (“ICC”) in effect at the time of the arbitration, except as they may be modified herein or by mutual agreement of the parties, and (B) the seat of the arbitration shall be London, England and the arbitration shall be conducted in the English language. If Buyer is located in Asia, then (A) the arbitration shall be conducted by one (1) arbitrator in accordance with the Rules of Arbitration of the ICC in effect at the time of the arbitration, except as they may be modified herein or by mutual agreement of the parties, and (B) the seat of the arbitration shall be Singapore City, Singapore and the arbitration shall be conducted in the English language. The arbitrator shall not have the authority, power, or right to alter, change, amend, modify, add, or subtract from any provision of these terms and conditions. In each case, the arbitral award shall be in writing and shall be final and binding on the parties. Judgment upon the award may be entered by any court having jurisdiction thereof or having jurisdiction over the parties or their assets. Subject to any arbitral award, costs of arbitration shall be borne equally by the parties. The arbitration requirement does not limit the right of either party to obtain provisional or ancillary remedies, such as injunctive relief, before, during or after any arbitration proceeding.
Governing Law: Except as provided below, any and all matters in dispute between the parties, whether arising from or relating to these terms and conditions or arising from alleged extra-contractual facts including, without limitation, fraud, misrepresentation, negligence or any other alleged tort or violation of contract, shall be governed by, construed, and enforced in accordance with the laws of Shanghai, without resort to the conflict of laws provisions and regardless of the legal theory upon which such matter is asserted, and any applicable China law. The sole jurisdiction and venue for all actions related to the subject matter hereof shall be courts located in Shanghai.
Force Majeure: Zonghui shall not be liable for any loss or damage resulting from any delay in delivery or failure to give notice of delay when such delay is due to any cause or event beyond Zonghui’ control, including, without limitation, acts of nature, pandemics, epidemics, unavailability of supplies or sources of energy, riots, wars, terrorist acts, sabotage, fires, strikes, labor difficulties, delays in transportation, delays in delivery or defaults by Zonghui’ vendors, or acts or omissions of Buyer. In the event of delay due to any such cause, time for delivery shall be extended for a period of time equal to the duration of such delay and Buyer shall not be entitled to refuse delivery or otherwise be relieved of any obligations as a result of the delay. If, as a result of any such cause, any scheduled delivery is delayed for a period in excess of one-hundred-twenty (120) days, Zonghui or Buyer shall have the right by written notice to the other to cancel the order for the Products subject to the delayed delivery without further liability of any kind.
o Export: Buyer acknowledges and agrees that the Products being sold hereunder are subject to the export control laws and regulations of the China and/or other national governments. Buyer will comply with these laws and regulations. These laws and regulations include, but are not limited to, the China Export Administration Regulations. Buyer shall not, without prior China Government authorization, export, reexport, or transfer any commodities, software, or technology, either directly or indirectly, to any country subject to a China trade embargo or sanction or to any resident or national of said countries, or to any person, organization, or entity on any of the restricted parties lists maintained by China, the Treasury, or Commerce. In addition, any Products sold hereunder may not be exported, reexported, or transferred to any end-user engaged in activities, or for any end-use, directly or indirectly related to the design, development, production, use, or stockpiling of weapons of mass destruction (e.g., nuclear, chemical, or biological weapons, and the missile technology to deliver them).
o Bankruptcy or Insolvency: Zonghui reserves the right, by written notice of default, to cancel any order, without further obligation or liability to Buyer, on the occurrence of any of the following: (i) the insolvency of Buyer; (ii) the filing of a voluntary petition in bankruptcy by Buyer; (iii) the filing of an involuntary petition to have Buyer declared bankrupt; (iv) the appointment of a receiver or trustee for Buyer; (v) the execution by Buyer of an assignment for the benefit of creditors; (vi) the discontinuance of business by Buyer; or (vii) the sale by Buyer of the bulk of its assets other than in the usual course of business.
o Severability: Should any of these terms and conditions be held by a court of competent jurisdiction to be contrary to law, that term or condition will be enforced to the maximum extent permissible and the remaining terms and conditions will remain in full force and effect.
o No Agency: Zonghui and Buyer are independent contractors, and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by these terms and conditions. Buyer is solely responsible for its employees and agents and shall indemnify Zonghui against any claim, liability, cost or damage related to Buyer’s actions or those of its employees or agents, including, but not limited to, the making of unauthorized warranties or representations on behalf of Zonghui.
o Third Party Beneficiaries: Buyer represents and warrants that there exist no third party beneficiaries to Buyer’s rights hereunder.
o Basis of Bargain: THE PARTIES AGREE THAT THE WARRANTY DISCLAIMER, THE LIMITATION OF LIABILITY AND EXCLUSIVE REMEDY PROVISIONS ARE MATERIAL, BARGAINED TERMS THAT ARE FUNDAMENTAL TO THESE TERMS AND CONDITIONS AND ARE REFLECTED IN THE CONSIDERATION TO BE GIVEN BY BOTH PARTIES UNDER THESE TERMS AND CONDITIONS AND IN THE DECISION BY BOTH PARTIES TO ACCEPT THESE TERMS AND CONDITIONS.
o Separate Transactions: Each shipment made hereunder shall be considered a separate transaction. In the event of any default by Buyer, Zonghui may decline to make further shipments. If Zonghui elects to continue making shipments, such action shall not constitute a waiver of any default by Buyer or in any way affect Zonghui’ legal remedies for such default.
o Entire Agreements and Amendments: These terms and conditions constitute the entire agreement between the parties and supersede all previous communications, whether oral or written. Any change to these terms and conditions may be made only upon mutual agreement of the parties in writing.
“上海纵慧光电科技有限公司（简称：纵慧光电）销售条款和条件”是纵慧光电公司向订单或其他订货文件所列的购买方（“购买方”）销售产品（“产品”）所适用的唯一条款和条件。 购买方接受这些条款和条件是纵慧光电公司接受购买方订单的明确条件。 购买方的任何条款和条件概无效力，在此予以拒绝。
所有报价均以美元或人民币开具发票和支付。 所有报价都可能因规格、数量、送货安排或其他不属于原始报价组成部分的条款和条件的影响而发生调整。 报价不包括任何国家、州/省/市及地方政府的消费税、销售税、使用税、开业税或其他税、关税及进口税费，无论纵慧光电公司是否向购买方开具这些税费的发票， 概由购买方负责支付这些税费。 在销售或交付产品时，若纵慧光电公司支付或需要支付、代缴任何金额的上述税费，则需相应提高报价。 免除产品销售或使用税的任何免税证明或相关文件、程序应由购买方自费办理。 纵慧光电公司收到产品订单后，若未在十二(12)个月内发出产品以供交付，则可能会调整报价。 购买方若未提取以折扣价销售的数量的产品，将需要追补以实际交付的数量和下订单时的对应有效报价计算的金额差额。 该等差额将在取消订单费用之外另计。
付款条件为在交货时以现金支付，除非开立了符合要求的往来账户信贷，后一情况下的付款期限为开具发票之日起的三十(30)天。 当纵慧光电公司认为有风险时，纵慧光电公司有权随时撤销向购买方延长的任何信贷。 纵慧光电公司将在交付订单上的所有产品时开具发票，如果允许分期交付，则在每次送货时开具发票，购买方亦应在每批货款到期时支付，不考虑其他计划中的交货。 逾期付款应支付滞纳金，按每月1.5%（每年18%）的周期利率（在法律许可范围内）计算。 购买方应支付其所欠的无争议款项，不得与购买方主张的纵慧光电公司欠购买方的任何款项抵消，并且与任何其他可能存在的争议无关。 购买方在此将产品的担保物权赋予纵慧光电公司，作为购买方履行其所有义务的担保。
除非购买方另有明确指示，纵慧光电公司将选择承运商并将产品送至购买方订单上指明的地址。 所有产品都将根据纵慧光电公司的最小订单政策和相关的送货顺序安排送货。 纵慧光电公司有权进行分期送货。 纵慧光电公司保留在产品有货时发货的权利，并为送货费用开具发票。 纵慧光电公司保留在任何情况下为其不同客户分配生产和交货的权利。 纵慧光电公司将以书面方式确认送货计划，并根据情况进行修改。 纵慧光电公司不承担与送货相关的任何责任，任何承运商都不构成其代理人。 如果产品未送达、丢失、受损或交货延期，应由购买方负责向承运商、保险商、仓储商及其他方索赔。 产品或短缺相关的所有损害赔偿要求必须在发货后三十(30)天内提出。 对于运输或送货过程中的延期，纵慧光电公司在任何情况下都不向购买方负责。
除非另有规定，所有产品都将按FCA方式 (Incoterms 2000)（纵慧光电公司经营场所）或纵慧光电公司在发送至购买方的通知中指定的其他方式交货。 纵慧光电公司将产品交付给购买方或交付给承运商运送至购买方时（以时间更早的为准），产品的所有权及损失风险即转移至购买方，与纵慧光电公司是否要安装产品或 监督产品安装无关。 对于纵慧光电代为持有或储存的产品，其风险概由购买方承担，并且购买方应支付纵慧光电公司应购买方请求代为持有或储存产品的费用。
任何关于订单取消、重新安排、退货或 更改的申请都必须以书面形式提出，此类行为必须获得纵慧光电公司授权代理人的书面同意。 纵慧光电公司可自行选择接受或拒绝购买方的任何此类申请，并且保留向购买方收取相关费用的权利。 如果没有纵慧光电公司事先授权并发放材料退回授权(RMA)号码，购买方不得以任何理由退回任何产品。
购买方或购买方的客户若要执行货源检查，必须在下单时以书面形式规定，并需支付合理的费用， 满足安全和安保条件。 未经纵慧光电公司事先明确授权，购买方无权进入纵慧光电公司设施。 购买方、其代理人或客户在参观任何纵慧光电公司设施期间或进行相关活动时，若发生人身伤害（包括死亡）或财产损失，购买方或其代理人应赔偿所有诉讼费用、损 失和开支，使纵慧光电公司免受损害。
除非另有规定，纵慧光电公司向购买方保证：从产品所有权转移之日起的一(1)年内，依据本协议销售的产品不存在材料或工艺缺陷，符合公布的数 据手册（或针对纵慧光电公司系统产品而公布的用户手册）中描述的规格。 上述规格是指所有权转移时公布的规格。 纵慧光电公司在本保证下的唯一责任是修复或更换购买方退回的产品和纵慧光电公司认为不符合保证的产品，或者将退回产品的相关款项记入购买方的账户。 对于退回纵慧光电公司的保修产品，送至纵慧光电公司的费用由购买方承担，返还给购买方的费用由纵慧光电公司承担。 纵慧光电公司履行质保义务的条件是已收到享有质保的产品的全额付款。
除本协议规定的以外，纵慧光电公司不提供任何其他保证，无论明确的还是隐含的，包括关于适销性、适合特定用途、所有权或未侵权的保证。 只有收到产品的全额付款，纵慧光电公司才会承担质保义务。 产品和包装上的标签仅为符合相关法律而提供，除相关法律要求的以外，纵慧光电公司不承担此类标签所引起的责任，包括明确的和隐含的。 对于购买方或第三方的过失、静电、误用产品或不当处理产品所引起的缺陷，纵慧光电公司概不承担任何保证责任。 对于以任何方式改动或改进的产品，纵慧光电公司概不负责。 由于产品与购买方使用的其他组件不兼容而造成的缺陷或故障，纵慧光电公司概不负责。 对于非标准产品或通过非授权渠道购买的产品，纵慧光电公司概不负责。 产品保修期终止时，替换产品的保修期随之终止。
本协议所述的纵慧光电公司对购买方的明确责任以 及知识产权赔偿责任仅适用于购买方，而不适用于任何其他方；该责任是纵慧光电公司关于产品的唯一责任和购买方的唯一救济，取代所有其他保证、损害赔偿、责任 和救济。 除非以书面方式做出其他明确规定并经双方签署，纵慧光电公司不承担任何索赔相关的责任、损失、损害赔偿和费用（包括律师费），包括但不限于产品相关的人身伤 亡或财产损失索赔，也无义务使购买方不受损害。 对于特殊、偶然、必然、惩戒性、惩罚性或其他间接损害赔偿，以及对于利润损失、数据损失或用途丧失赔偿，无论因何而起，无论是基于质保、合约、侵权、严格 责任还是其他理论，无论纵慧光电公司是否被告知可能会发生此类损害或损失，纵慧光电公司概不负责。 相关起诉理由存在超过一年之后，即不应采取针对纵慧光电公司的诉讼或法律行动。 任何诉讼、索赔、保证或损害赔偿所导致的纵慧光电公司对购买方和/或任何其他方的总责任，不应超过此前十二(12)个月内购买方就相关额定产品（依据产品型 号识别）实际向纵慧光电公司支付的累计金额。 与同一产品相关的索赔有多宗时，该限额既不扩大也不延期。
纵慧光电公司出售的产品并非设计、计划或批准用于生命支持、植入式医疗设备、运输、核设施、安全设备或其它产品故障会导致人身伤亡、严重财产 损失或严重环境危害的设备。 购买方使用或销售产品使得人眼暴露在激光下时应自行评估风险，购买方同意：因此类使用引发的任何损失、索赔、诉讼、或费用，纵慧光电公司慨不承担任何责任。
对于因交付的产品侵犯了有效且可强制执行的专利、著作权、商标或其他知识产权而引起的索赔，如果购买方及时将此类索赔或法律行动告知纵慧光电公司，并且纵慧光电公司全权负责此类法律行动的辩护及其和解的磋商（“索赔”），则纵慧光电公司同意赔偿购买方的相关损失，使其不受损害。 购买方应提供纵慧光电公司要求的所有信息和帮助，以便对此类索赔进行辩护。 纵慧光电公司对未经其事先书面同意而做出的和解或妥协不承担责任。 在索赔未得到充分诉讼或妥善和解之前，纵慧光电公司无义务补偿购买方索赔相关的成本和费用。 若在任何时候产品的使用成为索赔标的，或纵慧光电公司认为其有可能成为索赔标的，则纵慧光电公司有权利（但无义务）自行付费为购买方获得继续使用产品的权利， 替换或更改产品使其不再侵权，或者接受退货并将产品的折余价款记入购买方账户。 若纵慧光电公司选择接受退货，则购买方应将其拥有、监管或控制的所有产品退还给纵慧光电公司。 如果侵权或其他违反第三方权利的行为是基于以下任何一种情况，则纵慧光电公司不对购买方承担任何责任：(i) 产品与其他不是由纵慧光电公司提供的组件、设备或软件一起使用，且纵慧光电公司不承担与第三方软件相关的责任；(ii) 使用产品以实现任何流程或方法；(iii) 产品经过改进或改动；(iv) 产品的使用方式，无论购买方将这种使用方式告知纵慧光电公司与否；(v) 纵慧光电公司为了符合购买方的设计、规范或指示；(vi) 购买方已收到关于侵权或其他违规行为的通知，并且纵慧光电公司已经提供替换、改进或退款，但购买方仍旧使用产品；(vii) 符合行业标准或通信协议。 上述赔偿说明了购买方关于侵权的唯一且排他性救济，并且代替关于侵权的所有明确、隐含和法定的保证。
发生与本协议条款和条件相关的争议、争端或索赔时，如果任何一方认定争议无法通过直接磋商解决，则双方同意通过仲裁解决争议。 仲裁应由一名仲裁员依照申请仲裁时有效的上海仲裁委员会(SAC)商务仲裁规则进行，但本协议另有修订或双方另有约定的除外。 仲裁地点为中国上海，仲裁语言为中文。仲裁员没有任何权限、权力或权利更改、变更、修正、修订或增删本协议条款和条件的任何规定。 仲裁裁决应为书面，且应为最终裁决，对双方均有约束力。 可由对该裁决有管辖权的法院或者对双方或其资产有管辖权的法院执行仲裁裁决。 仲裁费应由双方共同分担，但仲裁裁决另有规定的除外。 本仲裁规定不得限制各方在任何期间内申请禁令救济等临时救济或附属救济的权利。
除以下规定外，双方争议的任何事项，无论是由本协议条款和条件引起还是由所宣称的合同外事实引起，包括但不限于欺诈、歪曲、疏忽或任何其他 侵权、违反合同的行为，应适用上海法律并据其进行解释和执行，排除适用上海法律冲突规定，并且与该事项所依据的法律理论以及任何适用的中国上海法律无关。 与本协议下的事项相关的所有诉讼均由位于中国上海法院管辖并审判。
因任何超出纵慧光电公司控制范围的原因或事件，包括但不限于自然灾害、流行病、疫情、无物资或能源可用、暴乱、战争、恐怖行为、破坏活动、火 灾、罢工、劳工纠纷、运输延误、纵慧光电公司供应商交货延误或违约、购买方的行为或过失，造成交货延迟或未能发出延迟通知的，纵慧光电公司不对由此产生的损失 承担责任。 此类原因造成延迟交货时，交货时间应延长与延迟期限相等的时间，购买方无权拒绝收货，且购买方的任何义务不因该延迟而被免除。 如果此类原因造成计划中的交货延迟超过一百二十(120)天，纵慧光电公司或购买方有权书面通知对方取消受延迟影响的产品订单，并且不承担任何进一步的责 任。
购买方认知并同意本协议下出售的产品受中国和/或其他国家政府的出口管制法律法规的约束。 购买方将遵守此类法律法规。 此类法律法规包括但不限于：中国出口管理条例、中国的出口法律 法规。 未经中国政府事先授权，购买方不得将任何货物、软件和技术直接或间接地出口、转口、转让给任何受中国贸易禁运或制裁的国家，该等国家的任何居民或国民，或中国国务院、财政部、商务部维持的限制方清单上的实体。 此外，不得将本协议下出售的任何产品出口、转口或转让给任何直接或间接从事或涉及到大规模杀伤性武器（核武器、化学武器、生物武器或投送武器的导弹技术） 的设计、开发、生产、使用或囤积的最终用户。
发生以下任何一种情况时，纵慧光电公司有权以书面违约通知形式取消任何订单，并对购买方不承担任何进一步义务或责任： (i) 购买方资不抵债；(ii) 购买方自愿申请破产；(iii) 非自愿申请使购买方宣布破产；(iv) 为购买方指定接管人或受托人；(v) 购买方为债权人的利益签署转让协议；(vi) 购买方停止经营；(vii) 购买方通过非正常业务运作出售其主体资产。
纵慧光电公司和购买方均为独立订约人，本协议不产生代理、合伙、合资企业、雇佣或特许人-受许人关系。 购买方独自对其员工和代理人负责，并应承担购买方或其员工、代理人的行为，包括但不限于在未经授权的情况下代表纵慧光电公司做出保证或声明所引起的索赔、责 任、成本或损失，使纵慧光电公司不受损害。
